1. PAYMENT & FINANCIALS
- Payment Terms: Payment is due according to the NET terms specified on the invoice. Accepted payment methods include Credit, ACH/Bank Transfer, and Check.
- Late Fees: Invoices unpaid after the due date incur a late fee of 1.5% per month (18% per annum). Client is liable for all costs of collection, including reasonable attorney’s fees.
- Suspension of Rights: Failure to pay incurred costs or project milestones may result in an immediate suspension of work and the withholding of all deliverables, storage drives, and usage rights until the balance is resolved.
2. RETAINER & CANCELLATION (KILL FEES)
- Retainer: A non-refundable retainer of 25% of the total project fee is required to secure production dates and initiate logistics. This serves as a "Kill Fee" to compensate for lost opportunity and administrative costs.
- Standard Cancellation: If canceled, the 25% retainer is forfeited.
- Late Cancellation: Cancellations within 48 business hours of a scheduled production incur a fee equal to 50% of the total project cost. For Monday shoots, the deadline is the preceding Thursday at the scheduled start time.
- Incurred Costs: Client is liable for 100% of out-of-pocket expenses (permits, rentals, talent, third-party fees) plus a 15% administrative handling fee. Reimbursement for these costs is due within fifteen (15) days of the invoice date.
3. PRODUCTION SCOPE & REVISIONS
- Feedback Rounds: For edited projects, deliverables include up to two (2) consolidated rounds of feedback. Additional revisions or changes to the original project scope ("Scope Creep") will be billed at $50/hr in 15-minute increments.
- Raw Footage Only Scope: If the project scope is strictly limited to media capture and raw data delivery, post-production services (editing, color grading, audio mixing) are excluded. Requests for adjustments to the shot list or framing must be communicated directly to the Producer on-set. Once production concludes, the capture scope is deemed complete and finalized.
- Meetings: Standard projects include one (1) 30-minute sync per month of project duration. Excessive consultations or sessions exceeding the allotment are billed at the standard hourly rate at Producer's sole discretion.
- Quality Guarantee: Revisions due to a technical or editorial error on the part of Reycast Media will be completed at no additional cost.
4. AERIAL & DRONE OPERATIONS
- Operational Authority: As FAA Part 107 operators, flight operations are strictly governed by federal regulations, airspace restrictions, and minimum weather requirements. The Remote Pilot in Command (RPIC) has final authority regarding safety; operations may be delayed, suspended, or canceled due to weather or FAA mandates.
- Safety Restrictions: Producer does not perform flight operations directly over uninvolved persons or moving vehicles. Client is responsible for ensuring the flight area is cleared of non-essential personnel.
- Weather & Rescheduling: If a flight is canceled due to safety hazards or weather, Client is responsible for all incurred travel and preparation costs. Client is responsible for obtaining ground-access permissions for private property.
5. ASSETS, OWNERSHIP & DATA RETENTION
- Standard Ownership (Full Video Production): For standard production agreements, Producer retains all proprietary rights to "Raw Footage," project files, and "Unfinished Assets" (collectively, the "Work Product"). The project price covers the final edited deliverable only. Access to or ownership transfer of the underlying Work Product is subject to additional licensing and buyout fees.
- Conditional Ownership (Raw Footage Services Only): If the invoice explicitly details a project structured solely for raw asset acquisition, Producer retains proprietary copyrights to the captured media until the balance is paid in full. Upon receipt of final payment, Producer grants a full transfer of usage rights and ownership of the raw media assets to the Client.
- Delivery & Inspection (Raw Footage): Raw footage is delivered in its native camera format via physical storage drives or digital transfer links. Client has seven (7) business days from delivery to inspect files for technical corruption, after which assets are deemed accepted "as-is." Producer holds no liability for the final creative utility or edit-compatibility of raw footage in secondary applications.
- Archiving & Purge Policy: Producer is not a permanent storage facility.
- For Full Video Production, the obligation to maintain project material terminates 180 days (6 months) after the project approval date.
- For Raw Footage Services, the obligation to maintain a local backup terminates 30 days after the initial delivery date.
- Following these respective windows, assets may be permanently purged without notice, and Producer holds zero liability for data loss or file reconstruction.
- Promotional Rights: Producer reserves the irrevocable right to use selections of the finished deliverables or captured raw footage for portfolio, reel, and self-promotional purposes.
- Limitation of Liability: Producer’s total liability for any claim shall not exceed the total amount paid by the Client under this specific invoice.
6. STAFFING & CREWING SERVICES
- Conversion Fee: Client shall not directly hire or contract any Personnel provided by Producer for twelve (12) months following placement. Direct hire within this period requires a "Conversion Fee" equal to 25% of the Personnel’s first-year compensation or $5,000, whichever is greater.
- Supervision & Safety: Client assumes liability for Personnel’s actions, safety, and equipment care when Personnel are under Client's direct supervision. Client must provide a safe working environment compliant with standard labor guidelines.
- Turnaround & Labor Standards: Standard crew rates are based on a 10-hour day. Hours exceeding 10 are billed at 1.5x, and hours exceeding 12 are billed at 2x. Personnel must be granted a minimum of ten (10) hours of rest ("turnaround time") between the wrap time of one shift and the call time of the next. Failure to provide adequate turnaround will result in penalty billing at 2x the standard hourly rate.
- No Injunctive Relief: In the event of a billing dispute regarding staffing services, Client agrees that its remedies shall be limited to monetary damages under contract law. Client explicitly waives any right to seek injunctive relief to restrain, enjoin, or halt the production, distribution, or exhibition of any media project associated with the provided Personnel.
7. GRAPHIC DESIGN & BRAND IDENTITY SERVICES
- Scope of Deliverables: Design scopes are explicitly limited to the deliverables itemized on the invoice. A "Logo Matrix" or "Branding Kit" includes the primary logo and its authorized technical variations (e.g., stacked, horizontal, icon mark, favicon), alongside an official color palette (HEX, RGB, CMYK codes) and designated typography styling sheets.
- Client-Supplied Assets & Warranties: When Client provides existing artwork, sketches, or imagery for digitization, vectorization, or modification, Client warrants that they possess full legal ownership, trademark rights, or explicit licensing permissions for said assets. Client agrees to indemnify, defend, and hold harmless Producer against any intellectual property infringement claims arising from client-supplied materials.
- Typography & Font Software Licensing: Producer designs using legally acquired typeface software. Final logo assets will be delivered with typography converted completely to vector graphics (outlines). In accordance with standard software End User License Agreements (EULAs), Producer will not transfer or deliver actual font software files (.OTF or .TTF) to the Client. Client is solely responsible for independently purchasing appropriate commercial font licenses for their ongoing internal use (such as website deployment, marketing documents, or stationery creation).
- Intellectual Property Transfer: Upon receipt of final payment in full, Producer transfers all rights, title, and ownership of the finalized visual brand identity deliverables to the Client. All rejected concepts, alternative variations, sketch files, or unselected drafts generated during the creative process remain the exclusive property of Producer.
- Trademark & Legal Registration Disclaimer: Producer provides creative, non-legal design services. Producer makes no representations, warranties, or guarantees regarding the legal availability, uniqueness, or capability of the deliverables to be registered as registered trademarks or protected under state or federal intellectual property laws. Client assumes full responsibility for conducting legal trademark searches and securing official registration through qualified legal counsel.
